Terms of Service
These Terms of Service ("Terms") govern your access to and use of the WatchTower15 monitoring platform, website and related services (together, the "Service") provided by WatchTower15 Ltd ("WatchTower15", "we", "us" or "our"). By creating an account, installing the agent, or otherwise using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
These Terms incorporate our Privacy Policy and, where we process personal data on your behalf, our Data Processing Agreement.
1. Acceptance of these Terms
Your use of the Service constitutes acceptance of these Terms. If you do not agree, you must not use the Service. If a separate written agreement between you and WatchTower15 covers the same subject matter, that agreement prevails to the extent of any conflict.
2. The Service
WatchTower15 provides server, domain and security monitoring, including external service and domain checks, deep server instrumentation via the wt15-server-agent, log collection, and security scanning. All capabilities described on our Features page are included as standard; we do not gate features behind separate tiers or paid add-ons. We may update, improve or modify the Service over time, and will not materially reduce core functionality during a paid term without notice.
3. Accounts & security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must configure appropriate access controls, use the role-based access control (RBAC) and single sign-on (SSO) features where suitable, and notify us promptly of any unauthorised use. You are responsible for the acts and omissions of your authorised users.
4. Acceptable use
You agree not to, and not to permit others to:
- Use the Service to monitor infrastructure you are not authorised to monitor.
- Use the Service in violation of any applicable law or third-party rights.
- Attempt to gain unauthorised access to, disrupt, or degrade the Service or its infrastructure.
- Reverse engineer, resell or sublicense the Service except as expressly permitted.
- Upload malware or use the Service to transmit unlawful, infringing or harmful content.
We may suspend access where we reasonably believe these Terms have been breached or where necessary to protect the Service or other customers.
5. Customer data
You retain all rights in the monitoring data and other content you submit to the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide and support the Service. Our processing of any personal data within Customer Data is governed by the Data Processing Agreement. You are responsible for ensuring you have the necessary rights and lawful basis to submit Customer Data to the Service.
6. Fees & billing
The Service is billed on a usage-metered basis according to the number of monitored resources — servers, domains and services. There are no per-seat fees, per-feature paywalls or minimum-seat commitments. Fees are invoiced in accordance with your order. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for. Late payments may result in suspension after reasonable notice. Except where required by law, fees paid are non-refundable.
7. Availability
We aim to keep the Service available and reliable, and perform maintenance in a way that minimises disruption. Any specific service-level commitments, if applicable to your plan, will be set out in a separate service-level agreement. Except as expressly agreed, the Service is provided on an "as available" basis.
8. Intellectual property
The Service, including all software, documentation, trademarks and content (excluding Customer Data), is owned by WatchTower15 or its licensors and is protected by intellectual property laws. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. No rights are granted except as expressly set out here. Feedback you provide may be used by us without restriction or obligation.
9. Warranties & disclaimers
We warrant that we will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, and to the maximum extent permitted by law, the Service is provided "as is" and we disclaim all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by you for the Service in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Term & termination
These Terms apply for as long as you use the Service. Either party may terminate for material breach that remains uncured for 30 days after written notice. You may stop using the Service at any time. On termination, your right to access the Service ceases, and Customer Data will be handled in accordance with the retention and deletion provisions of the Data Processing Agreement. Provisions that by their nature should survive termination will survive.
12. Changes to the Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide notice. Continued use of the Service after an update constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where mandatory local consumer or data protection law applies to you. The parties submit to the exclusive jurisdiction of the courts of Delaware for any dispute arising out of or in connection with these Terms.
